VALIZU Terms of Use Service Provider: Percon Bilişim Çözümleri ve Danışmanlık A.Ş. (Percon Information Solutions and Consulting Inc.) Address: Büyükdere Cad. Meydan Sok. No:1 Beybi Giz Plaza Floor:15, Maslak, Sarıyer/İstanbul, Türkiye Service: Valizu mobile application and www.valizu.com Effective Date: 1.5.2026 1. Parties and Scope These Terms of Use (the “Agreement”) are concluded between Percon Bilişim Çözümleri ve Danışmanlık A.Ş. (Percon Information Solutions and Consulting Inc.) (“Percon” or “Valizu”), located at Büyükdere Cad. Meydan Sok. No:1 Beybi Giz Plaza Floor:15, Maslak, Sarıyer/İstanbul, Türkiye, and the person who accesses the Valizu website and mobile application (the “Valizu Platforms”) as a registered or unregistered user (the “User”). The Agreement also applies, to the extent relevant, to unregistered use. 2. Subject and Services Valizu is a digital travel-organisation and content-management platform that allows users to create travel plans, determine and prepare luggage/bag contents, set trip start/end points and duration, list items to pack and upload images of those items and luggage. Valizu is not a seller or provider of any third-party products or services; it facilitates the planning and optional sharing of users' personal travel experiences. 3. Membership and User System Membership is available only through identity verification via Apple and/or Google accounts; no separate username or password is created. Valizu is not responsible for the security of the User's accounts with those providers. The User must be at least 18 years old; persons under 18 may access the platform only with the consent and supervision of their legal guardian. Children's services are provided through the separate Ferientiger application under its own terms. Valizu treats the person logging in via an Apple or Google account as the account owner and is not obliged to verify their identity or authority. The User may optionally make travel plans or luggage content public, in which case such content may be viewed by other users. 4. Premium Subscription and Payment Valizu offers free (Freemium) and paid (Premium) features. All Premium payments are collected through the Apple App Store, Google Play Store or relevant third-party payment providers. Valizu does not store credit card data; payment is processed entirely through the relevant app marketplace. Premium subscriptions renew automatically at the end of each period unless cancelled by the User; we will send a reminder by email or in-app notification a reasonable time before automatic renewal. The User may cancel at any time through the relevant app marketplace and will continue to enjoy Premium features until the end of the paid period. Valizu assigns each User a personalized referral code. If the User successfully invites five (5) users to register on the Platform using the relevant referral code, provided that such registrations are made through genuine, unique accounts belonging to real individuals, the User shall be granted one (1) month of complimentary Premium Membership. Valizu reserves the right to detect invitations generated through bot accounts, fraudulent methods, or any other abusive practices, to reject or terminate such accounts, and to refuse to grant or to revoke the complimentary Premium Membership where the applicable eligibility requirements have not been satisfied. Following the activation of the Membership, the User has the right to withdraw from the Membership within fourteen (14) days, provided that the User pays any fees corresponding to the services used up to the date on which the right of withdrawal is exercised. 5. External Profile Links and Content Sharing Users may add links to their profiles on external platforms (including, but not limited to, Meta and TikTok) to their Valizu profile. As stated in the Valizu Privacy Notice, such profile links added by Users will be visible to other Users of the Platform. At their discretion, Users may share content generated within the Valizu Application on external platforms, including Meta and TikTok, for the purpose of increasing user engagement. Users may withdraw their consent to such sharing at any time, in which case no further content will be shared on the relevant external platform. 6. User Obligations • The User confirms that the Apple or Google account information used for login is accurate and belongs to them. • The User is responsible for damage arising from inaccurate or third-party information provided at registration. • The User will use the Valizu Platforms only in accordance with applicable law, public morality and this Agreement. • The User is solely responsible for the accuracy, legality and non-infringement of all travel plans, luggage content and images they create or upload. • It is prohibited to upload content that is sexually explicit, violent, criminal, misleading, threatening, obscene, contains hate speech or infringes the IP rights of third parties. • The User undertakes not to upload special categories of personal data (health, biometric, genetic, sex life, criminal convictions, religious/political/philosophical views) of themselves or third parties. • The User agrees not to upload images of official or private documents such as passports, visas, ID cards, driver's licenses, insurance documents or vaccination cards. If the User nevertheless uploads and publishes such documents, the User bears sole responsibility. • By making content public, the User acknowledges doing so of their own free will and accepts responsibility for the consequences. • Weight information in the App is an estimate and for guidance only; the User is responsible for any airline excess-baggage charges. • The User will not attempt to compromise the platform's software security, render the system inoperable or extract data, and will not transmit spam, malware or unauthorised data. • The User will not use the platform for advertising or commercial promotion without Percon's written consent, and will not record, disseminate or misuse third parties' personal information. • The User will not to collect, record, disclose, or misuse the personal data of any third party without the relevant person's authorization. 7. Rights of the Company • Percon may temporarily suspend the system to improve its operation, informing users as soon as possible. • Percon may, on reasonable grounds, modify, update or discontinue platform content, services and functions. • Percon will delete account data on the User's request or where required by law. • Where an account is misused by third parties or the Agreement is breached, Percon may suspend, restrict or close the account, providing the User with a reasoned notice and an opportunity to appeal. • Percon does not guarantee the accuracy of third-party-sourced information (e.g., weather data) and is not liable for planning disruptions based on it. • Percon may offer referral codes, discounts, coupons or promotions subject to validity periods and conditions. 8. Intellectual Property All IP rights in the Valizu Platforms (design, software, domain, trademarks, logos and Percon-created content) belong exclusively to Percon. The User retains all rights in content they upload. By uploading content, the User grants Percon a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, reproduce, adapt and use such content solely for the purpose of providing, improving and promoting the Service and – where the User has made the content public – making it available to other users. This licence ends when the User removes the relevant content (subject to backup and legal retention obligations). The User does not assign their economic IP rights to Percon; they grant only the licence described above. 9. In-App Advertisements, Third-Party Links, and Referral Links Valizu is entitled to display third-party advertising content, including banner and video advertisements, within the Application through Google AdMob in order to ensure the continuity of the free services provided by the Application. The User acknowledges and agrees to such advertisements. Valizu shall not be responsible for the accuracy, transparency, legality, or reliability of advertisements displayed by third parties within the Application. The User shall be solely responsible for any loss or damage arising from the use of third-party websites or applications accessed through such advertisements. The User agrees not to use any third-party software, plug-in, hardware, or other technological means to block, manipulate, interfere with, or disable the display of advertisements within the Application. In the event that such conduct is detected, Valizu reserves the right to restrict the User's access to the Application or suspend the User's account. Valizu is entitled to participate in affiliate marketing relationships (B2C) with certain third-party companies and to earn commissions from purchases made by Users through referral links made available within the Application. Users may also add referral links to luggage lists or travel-related content created by them under their own affiliate relationships (C2C) and make such links available to other Users. Any commission generated from purchases made by other Users through such referral links shall belong exclusively to the User who owns the relevant referral link. Valizu is neither a party to nor an intermediary in such affiliate relationships. The User shall be solely responsible for ensuring that any referral links shared through the Application comply with applicable laws, the policies of the relevant third-party platforms, and public order and safety. Notwithstanding the foregoing, Valizu is not the provider, manufacturer, seller, contracting party, or payment service provider of any products and/or services offered through referral links made available either under Valizu's own affiliate relationships or through affiliate links shared by Users under their own affiliate relationships. Any distance sales agreements concluded on the redirected platforms, together with matters relating to product delivery, the right of withdrawal, payment security, defective goods or services, consumer claims, and all associated legal rights and obligations, shall be the sole responsibility of the relevant third-party seller and/or platform. Valizu shall have no legal, financial, civil, administrative, or criminal liability arising from such transactions, and the User agrees not to assert any claims against Valizu in relation thereto. 10. Content Notice and Removal Content that is unlawful, infringes the rights of third parties, or otherwise violates this Agreement shall be reviewed by the Company upon receipt of a reasoned notice submitted to info@valizu.com. Where the Company determines that such notice is justified, it reserves the right to remove the relevant content or disable access thereto. The content owner shall be informed of the action taken and shall be given the opportunity to submit an objection. Alleged copyright infringements may also be reported through the same communication channel. 11. Content Notice and Takedown Content that is unlawful, infringes third-party rights or violates this Agreement may be reported to info@valizu.com. Percon reviews reasoned notices and may remove or disable access to content it considers justified, informing the content owner and providing an opportunity to appeal. Copyright infringement claims may be submitted through the same channel. 12. Disclaimer and Limitation of Liability THE VALIZU PLATFORMS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” Percon does not warrant that the service will be uninterrupted or error-free. To the maximum extent permitted by applicable law, Percon is not liable for indirect, special, incidental or consequential damages arising from use of the platform. This clause does not affect liabilities that cannot be excluded or limited under applicable consumer law. 13. Termination and Data Portability The User may terminate their membership at any time through the App or by written notice to info@valizu.com. On account closure, personal data is deleted, destroyed or anonymised at the end of the retention periods set out in the Privacy Notice. The User may export their content before closing the account. 14. Governing Law and Jurisdiction This Agreement is governed by the laws of the Republic of Türkiye. For consumers resident in Türkiye, the Consumer Arbitration Committees or Consumer Courts have jurisdiction depending on the value of the dispute. For consumers resident in the European Union, the United Kingdom or elsewhere, this Agreement does not deprive such users of the protection of the mandatory consumer-protection provisions, or the jurisdiction of the courts, of their country of residence. For non-consumer users, the Istanbul (Çağlayan) Courts and Enforcement Offices have jurisdiction. 15. Apple App Store – Additional Terms The following terms apply where the App is downloaded from the Apple App Store: • Acknowledgment: This Agreement is between you and Percon only, not with Apple Inc. Percon, not Apple, is solely responsible for the App and its content. • Scope of Licence: You are granted a non-transferable licence to use the App on Apple-branded products you own or control, as permitted by the App Store Terms of Service. • Maintenance and Support: Percon is solely responsible for maintenance and support; Apple has no such obligation. • Warranty: In the event of a failure of the App to conform to any applicable warranty, you may notify Apple for a refund of the purchase price; otherwise Apple has no warranty obligation. • Product Claims: Percon, not Apple, is responsible for addressing claims relating to the App, including product liability, legal/regulatory non-conformity and consumer-protection claims. • Intellectual Property: Percon, not Apple, is responsible for investigating and defending third-party IP infringement claims relating to the App. • Legal Compliance: You represent that you are not located in a U.S.-embargoed country and are not on any U.S. prohibited or restricted parties list. • Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. 16. Force Majeure Neither party is liable for failure to perform due to unforeseeable events beyond its control such as fire, earthquake, flood, epidemic, war, civil unrest, strike, cyber-attack or infrastructure failure. Obligations are suspended for the duration of the force majeure event. 17. Amendments, Term and Termination Percon may amend this Agreement for technical or legal reasons; material changes are notified via in-app notification or email. The Agreement remains in force while the User's membership continues. Either party may terminate at any time; rights and obligations accrued up to termination survive. 18.
